BUSINESS USE LICENSE AGREEMENT
(PAY ONCE • UNLIMITED INTERNAL USE)

This Business Use License Agreement (“Agreement”) is between Ideal Buyer Persona (“Licensor,” “we,” “us”) and the purchaser (“Licensee,” “you”).
By purchasing, accessing, or using the GPT tool(s) (the “Product”), you agree to this Agreement.
1) Definitions

“Product” = the GPT tool(s) you purchased, including any instructions, prompts (system/developer/user), workflows, templates, configurations, and supporting materials provided by Licensor.

“Seat” = one permitted user under this Agreement.

“Output” = content generated while using the Product.
-
“Internal Business Use” = use in operating, marketing, or managing your own business, not for third-party client services or deliverables.
2) License Grant
Subject to payment and compliance with this Agreement, Licensor grants you a non-exclusive, worldwide, perpetual, limited, non-transferable, non-sublicensable license to access and use the Product for Internal Business Use only.
This is a license, not a sale. Licensor retains ownership of the Product.
3) License Type and Seats
You must purchase and use the Product under one of these license types:
A) Solo Business License (1 Seat)

Permits one (1) Seat: the individual purchaser.

The license is for a single person’s use for their own business.
B) Team Business License (Up to 5 Seats)

Permits up to five (5) named Seats within the same business entity.

Seats must be assigned to specific individuals (e.g., name + email), and those individuals are the only permitted users.
Seat rules (both licenses):

Seats may not be shared or “floated” among multiple people.

Seats may not be transferred outside the licensed business/entity.

If a Seat holder leaves your team, you may reassign that Seat to a replacement (still within your 5-seat cap).
4) Permitted Uses
You may:

Use the Product unlimited times for Internal Business Use.

Use Output inside your own business materials (e.g., drafts for emails, posts, product descriptions, internal plans, checklists).
5) Prohibited Uses (Important)
You may not, and may not allow others to:
A) No sharing / no access distribution

Share logins, share gated links, share accounts, or otherwise allow anyone to access the Product unless they are an authorized Seat under a Team License.
B) No client work / no client deliverables

Use the Product to produce work for clients, including deliverables, content, strategy, reports, consulting outputs, or any work product you provide to a third party in exchange for payment or value.

If you operate an agency or provide services, you must keep use strictly internal to your own business.
C) No resale / no sublicensing

Sell, rent, lease, sublicense, distribute, transfer, or otherwise provide the Product or access to it to any third party.
D) No copying / publishing the Product

Copy, reproduce, publish, post, or distribute any part of the Product, including prompts, instructions, configurations, logic, or documentation (in whole or in part), whether free or paid, public or private.
E) No reverse engineering / extraction

Attempt to discover, extract, or recreate the Product’s prompts, system messages, logic, guardrails, or configuration through prompt injection, prompt extraction, reverse engineering, scraping, or similar methods.
F) No competing products

Use the Product or its structure to build, train, improve, or seed any competing GPT, automated assistant, prompt library, course product, template pack, or similar offering.
G) No bulk or automated extraction

Use bots, scripts, or automation to mass-generate, scrape, compile, or dataset Output in a way that could recreate or substitute for the Product.
6) Contractors and VAs
Contractors/VAs are welcome to purchase their own Solo license for their own business.
If you want a contractor/VA to use the Product for your business, they must be added as a named Seat under your Team License (within the 5-seat limit). Otherwise, sharing access is prohibited.
7) Intellectual Property
Licensor retains all rights, title, and interest in the Product, including all intellectual property rights.
You may use Output for Internal Business Use, but Output may not be used to recreate, replicate, or compete with the Product.
8) Access Method and Third-Party Platforms
Access is provided via ChatGPT through Licensor’s website. Use of the Product may require accounts or services controlled by third parties. You agree to follow all applicable third-party terms while using the Product.
Licensor may update the Product to maintain quality, comply with platform requirements, or improve performance.
9) No Refunds
All sales are final. No refunds are offered due to the nature of digital access and immediate availability of the Product.
10) Suspension / Termination
If Licensor believes you violated this Agreement, Licensor may suspend or terminate access immediately and without refund. Licensor may take reasonable steps to protect the Product from misuse.
11) Disclaimer
The Product is provided “as is.” Licensor does not guarantee results, income, performance outcomes, or accuracy. You are responsible for reviewing Output before using it.
12) Limitation of Liability
To the maximum extent permitted by law, Licensor will not be liable for indirect, incidental, special, consequential, or punitive damages. Licensor’s total liability under this Agreement will not exceed the amount you paid for the Product.
13) Governing Law
This Agreement is governed by the laws of the State of Ohio, without regard to conflict of law principles.
